Sanford Rich has served as a director of the Company since March 2012. Since January 2016 Mr. Rich has served as the Executive Director of the New York City Board of Education Retirement System. From November 2012 to January 2016, Mr. Rich served as the Chief of Negotiations and Restructuring for the Pension Benefit Guaranty Corporation (a United States Government Agency). From October 2011 to September 2012, Mr. Rich served as Chief Executive Officer of In The Car LLC. Mr. Rich served as a director of Interclick from August 28, 2007 until June 5, 2009 and as Audit Committee Chairman from August 2007 to June 2009. From February 2009 to December 2012 Mr. Rich was a Managing Director of Whitemarsh Capital Advisors, a broker-dealer. Since April 2006, Mr. Rich has served as a director and Audit Committee Chairman for InsPro Technologies (OTCQB: ITCC). Since January 1, 2015, Mr. Kaplan has been a Managing General Partner in Education Growth Partners, a private equity firm focused exclusively on the education and training industry. From July 2000 through March 2014, Mr. Kaplan was a partner in Quad Partners ("Quad") a private equity firm focused exclusively on the education industry. During his tenure with Quad, Mr. Kaplan also served as a Managing Director of Quad College Group, the operational team focused on Quad's postsecondary portfolio. From March 2014 to December 2014, Mr. Kaplan was a consultant to the education industry. From May 2014 until June 2015, Mr. Kaplan, through an entity he controls, served as a consultant to the Company. Mr. Kaplan was selected as a director for his extensive knowledge of the educational industry.

Koehneman was Global Advisory Chief Operating Officer and Human Capital Leader at PwC, a global leader in advisory and professional service, where he led worldwide operations for the Advisory business, overseeing 50,000 professionals. Prior, he served as the U.S. Advisory Operations leader responsible for oversight of Advisory's services for PwC, including business unit performance, finance, investments, human resources, acquisitions, and administration. Previously at PwC, he was the Lead Engagement Partner for Financial Statement Audits and Internal Control and Security reviews. Kass currently serves as a board member of MVC Capital and is the founder and president of Seabreeze Partners Management, a privately-owned hedge fund sponsor. He has over 45 years of experience with various investment firms. Kass began his career as an analyst at Kidder Peabody and spent nearly a decade at Putnam Management as an analyst and economist. He served as a member of the board of directors of Empire Resources Inc. (formerly NASDAQ: E.R.S.), a distributor of value-added, semi-finished metal products, from July 2011 until May 2017, when it was acquired by Ta Chen Stainless Pipe Co., Ltd. Kass's knowledge and experience in investing have made him a featured contributor to The Street.com and Barrons and a guest on CNBC Squawkbox, Jim Cramer's Mad Money, Moneyline and Bloomberg TV. Kass received his bachelor's degree from Alfred University in three years and an M.B.A. in Finance from The Wharton School of the University of Pennsylvania.

Dr. Joan Prince

Dr. Prince is a highly sought subject matter expert in STEM, higher education and issues affecting women and girls and other historically underrepresented groups. She has a passion for advocating for equity in all fields and sectors. Notably, Dr. Prince was nominated by President Barack Obama to the General Assembly of the United Nations, with the honorary rank of Ambassador. This diplomatic position also maintained an appointment as a Senior Advisor to the State Department. In these roles, Dr. Prince occupied the United States chair in the General Assembly of the UN where she delivered policy statements on behalf of the United States regarding global economic and human rights issues. She worked closely with UN committees and related organizations such as The World Bank, USAID and UN Women.
